Terms of Use
These Terms of Use govern the engagement, scoping, development, and delivery of software engineering services by Layerser.
1. Agreement to Terms
By accessing or using the website layerser.com, submitting a project brief, or contracting Layerser (“Layerser,” “we,” “us,” or “our”) for software engineering and design services, you (“Client” or “you”) agree to be legally bound by these Terms of Use and our master service agreements.
2. Scope of Services
Layerser provides specialized technical services including mobile application development (iOS/Android/Flutter), website development, SaaS platform architecture, AI automation workflows, enterprise software, and dedicated engineering team augmentation. Specific deliverables, sprint schedules, milestones, and technical requirements are defined in mutual statements of work (SOW).
Upon settlement of agreed milestone payments, all custom source code, repositories, UI/UX assets, database schemas, and architectural deliverables created for your project become the exclusive intellectual property of the Client. Layerser retains no ongoing ownership or licensing claims over custom client IP.
3. Client Responsibilities & Materials
To ensure high-velocity delivery, Clients agree to provide timely feedback, necessary API keys, domain authorizations, third-party credentials, and project brief clarifications required for scheduled sprints.
4. Confidentiality & Non-Disclosure
Both parties agree that all confidential information, business strategies, technical architectures, pricing details, and proprietary software disclosed during discovery or project execution shall be held in strict confidence and protected against unauthorized disclosure.
5. Engineering Quality & Warranties
Layerser warrants that all delivered software systems are engineered in accordance with modern industry best practices, adhering to rigorous QA testing, type-safety, security guidelines, and performance standards. Post-launch bug fix windows are provided for every completed deliverable as defined in the project scope.
6. Limitation of Liability
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, special, or consequential damages arising from the use or inability to use delivered systems or third-party cloud infrastructure.
7. Termination & Handover
Either party may terminate an engagement in accordance with the terms specified in the mutual Statement of Work. Upon termination, all completed deliverables, repositories, and documentation up to the final paid sprint will be transferred cleanly to the Client.
